    Microsoft and OpenAI extend collaboration with updated framework

    OpenAI has signed a new agreement with Microsoft that will change its corporate structure while reaffirming one of the most closely watched partnerships in the artificial intelligence sector. The two companies announced on September 11 that they have entered into a nonbinding memorandum of understanding to establish a framework for reorganizing OpenAI into a Public Benefit Corporation while retaining nonprofit oversight. The nonprofit parent of OpenAI will hold an equity stake worth more than $100 billion in the newly structured entity.

    The organization said the stake ensures that the nonprofit continues to guide governance and safety decisions while participating directly in the commercial success of its technology. The new framework gives OpenAI the ability to align its capital needs with its mission while maintaining governance continuity. OpenAI’s board chair Bret Taylor emphasized that the company was founded as a nonprofit and will remain governed by that structure. He said the nonprofit’s role in oversight will be preserved as the organization transitions its operating business into the Public Benefit Corporation.

    That model, he added, will provide a balance between pursuing innovation and adhering to OpenAI’s founding principles. The memorandum of understanding states that Microsoft will continue as OpenAI’s strategic partner. Microsoft previously invested billions of dollars in the company and integrated OpenAI’s models into products such as Microsoft Office and the Azure cloud platform. The new agreement formalizes a framework that keeps Microsoft closely tied to OpenAI’s technologies while confirming that the companies are working together to finalize binding contracts.

    Nonprofit parent retains control with equity stake

    The restructuring process includes regulatory coordination in the United States. OpenAI said it is working with the Attorneys General of California and Delaware on governance and charter requirements for the Public Benefit Corporation. The company noted that nonprofit control will remain central in decision-making, particularly in areas related to safety and research direction. The partnership between Microsoft and OpenAI has been one of the defining alliances in the AI industry.

    Microsoft has been OpenAI’s largest outside investor and its cloud partner, while OpenAI’s generative AI tools have helped drive widespread adoption of advanced AI technologies. The companies described their renewed agreement as a continuation of that collaboration, ensuring that Microsoft retains access to OpenAI’s models and services under terms already in place. OpenAI’s announcement also comes as the company expands infrastructure to support its next generation of AI models.

    Expanded computing capacity supports AI development

    The organization is building additional computing capacity, including large-scale data centers in the United States, to meet the growing demand for its technology. These efforts reflect the scale of resources required for frontier AI development, which the new structure is intended to support. Neither company has disclosed a timeline for when the memorandum will be converted into a definitive agreement. Both parties stated that the current arrangement preserves continuity of operations while the restructuring process is underway.

    They also confirmed that existing commitments on product access and safety governance remain in effect. The OpenAI nonprofit, with its planned equity stake exceeding $100 billion, would become one of the most capitalized nonprofit entities globally once the restructuring is complete.
